   March 17 (Bloomberg) -- Corporate Express NV, the Dutch office-supplies distributor, fell below the level of an offer from Staples Inc. for the first time in Amsterdam trading after a newspaper report stoked speculation the bid may not be raised.
   
   Shareholders pressed Corporate Express to start talks with Staples so the world's biggest office-supplies retailer doesn't withdraw as a possible buyer, newspaper Het Financieele Dagblad reported today, citing unidentified investors. The Dutch distributor last month rejected Staples' offer as too low.
   
   Corporate Express fell 66 cents, or 8.8 percent, to 6.86 euros at 3:17 p.m. in Amsterdam, the day's lowest price. That was the biggest intraday decline since Jan. 21 and took the price below the 7.25 euros a share being offered by Staples. Petercam cut its recommendation to ``sell'' from ``hold.''
   
   Staples gained 39 cents, or 1.9 percent, to $21.26 at 10:17 a.m. in Nasdaq Stock Market composite trading, the third-biggest percentage advance in the Nasdaq-100 Index.
   
   Staples called the bid ``fair'' two weeks ago, an act that should be viewed as indicating reluctance to raise it, Het Financieele Dagblad cited an unidentified banker as saying.
   
   ``If the article is right and the shareholders are already urging the company to talk, Staples probably won't be raising their offer much,'' said Johan van den Hooven, an analyst at Theodoor Gilissen Bankiers in Amsterdam who rates the stock ``buy.''
   
   `Game of Chicken'
   
   Corporate Express hasn't had contact with Staples since Feb. 19, spokeswoman Anneloes Geldermans said. She declined to comment on talks with the distributor's shareholders.

   Under Dutch takeover law, a company must indicate within 30 days whether it will make a formal offer, or provide a reason for not being able to make a decision in that timeframe.
   
   ``Corporate Express' board right now is playing a dangerous game of chicken,'' said Anthony Chukumba, an analyst at FTN Midwest Securities Corp. in New York with a ``buy'' rating on Staples. ``It is unlikely Corporate Express' stock will see the levels Staples offers at any time in their near future.''
   
   Christiaan Potjer, who helps manage about 2 billion euros at Kempen & Co. NV including a holding of more than 5 percent in Corporate Express, said his company hasn't talked to the distributor about Staples.
   
   ING Groep NV, which owns a 13.9 percent stake, won't comment, spokeswoman Carolien van der Giessen said.

   'Aandeelhouders voeren druk uit op Corporate Express'

   Amsterdam (BETTEN FINANCIAL NEWS) - Aandeelhouders van Corporate Express voeren druk uit op het bestuur van de groothandel in kantoorartikelen om met belager Staples aan tafel te gaan zitten. Dat schrijft Het Financieele Dagblad maandag.
   
   Volgens de krant hopen de aandeelhouders op, en verwachten ze ook een hoger bod van Staples, maar willen ze vooral voorkomen dat de Amerikaanse branchegenoot zich als koper terugtrekt. 'Niemand wil dat de koers weer terugvalt naar het niveau van voor het bod', aldus een van de aandeelhouders tegenover het FD.
   
   Staples bracht op 19 februari een voorlopig bod uit op Corporate Express. Het bedrijf was bereid om euro 7,25 per aandeel te betalen, waardoor de totale waarde van het concern op euro 2,2 mrd uitkwam.

   JA en Nee,
   Ze moeten in ieder geval een tussenstand geven. Overigens staat het bod, maar Corporate heeft het afgewezen. Bij deze tussenstand kunnen ze aangeven dat ze zich terugtrekken, of dat ze nog steeds geinterreseerd zijn. Dan hebben ze daarna nog acht weken om een formeel bod (dan kan ook hetzelfde bod zijn als reeds gedaan is) te doen.

   Gezien de turbulentie op de markten verwacht ik de 1e optie, maar voorlopig geen hoger bod.
