   AMSTERDAM (Dow Jones)--Indien Unit 4 Agresso er in slaagt Coda Plc in te lijven, draagt dat volgens analist Martijn den Drijver van SNS Securities bij aan de winst per aandeel van de onderneming. Uitgedrukt in een vermenigvuldigingsfactor is het hefboomeffect 2,6: nettoschuld gedeeld door de winst voor aftrek van rente, belastingen, afschrijvingen en amortisatie. Voor het verkrijgen van een lening is dit een hanteerbare factor. Of de zet strategisch ook goed is voor Unit 4 Agresso, hangt volgens Den Drijver af van hoe de omzet door de combinatie kan worden gestimuleerd, bijvoorbeeld doordat Coda-klanten ook klanten van Unit 4 Agresso worden. Het advies voor het aandeel Unit 4 Agresso staat bij SNS op een buy met een koersdoel van EUR25. Het aandeel Unit 4 Agresso noteert maandag om circa 12.00 uur 4,6% hoger op EUR17,40 bij een ASX die 0,7% oploopt. Het aandeel Coda noteert 199 pence tegen 170,50 pence vrijdag op het slot.    Unit 4 Agresso NV approaches Coda Plc with a view to acquisition
   Sliedrecht, the Netherlands, 14 January 2008
   
   Unit 4 Agresso NV ('Unit 4 Agresso') announces that on 18 December 2007 it made an indicative approach to acquire Coda Plc ('CODA') at 205p per ordinary share in cash for the entire issued and to be issued ordinary share capital of CODA (the 'Approach'). The Approach is subject to a number of pre-conditions including the satisfactory completion of due diligence and financing.
   
   The Board of CODA considered the Approach and concluded that a limited due diligence exercise should proceed. This exercise is at an advanced stage. There is no guarantee of any offer being made for the Company. Were such an offer to be made it is expected to be funded by Unit 4 Agresso's existing cash balances and debt finance. Together, CODA and Unit 4 Agresso would create one of Europe's top ten business software vendors*, with turnover in excess of euro 300m (based on 2006 published figures) and operations in nineteen countries.
   
   A further update is expected before the end of January 2008.
