   Kan het gekker? Elektronicabedrijf Commodore vermoedt dat zijn dochteronderneming Phillar heeft gesjoemeld met de cijfers. Phillar beweert echter helemaal geen dochter van Commodore te zijn.
   De soap rond Commodore begint groteske vormen aan te nemen. Het Baarnse elektronicabedrijf stelt dat het mogelijk zijn jaarcijfers over 2007 substantieel moet aanpassen, omdat dochteronderneming Phillar heeft gesjoemeld met de cijfers. "Nieuwe informatie heeft ernstige twijfel doen ontstaan over de financiële resultaten, die gerapporteerd zijn door onze dochteronderneming Phillar", stelt de onderneming in een persbericht. Volgens Commodore is directeur Gabor de Vree van Phillar op non-actief gesteld.
   
   Elektronicagroothandel Phillar beweert echter helemaal niets met Commodore te maken te hebben. In september 2006 kondigde Commodore aan de groothandel over te nemen. Sindsdien is het bedrijf altijd gepresenteerd als dochter. Maar uit onderzoek van FEM Business bleek eind vorig jaar al dat de overname van Phillar nooit daadwerkelijk was afgerond.
   
   "Al bijna een jaar geeft Commodore een valse voorstelling van zaken, als zou Phillar een dochter van het bedrijf zijn", liet Phillar gisteren in een reactie (pdf) weten. "Commodore bezit echter niet één enkel aandeel in Phillar. (...) De notaris die bij de onderhandelingen over een mogelijke overname betrokken was, heeft op 21 mei 2007 al in een officiële verklaring laten weten dat er geen overdracht van aandelen Phillar heeft plaatsgevonden."
   
   "De verklaringen van Commodore zijn werkelijk tegen het zielige aan. Alles wat in het persbericht staat, is volledig uit de lucht gegrepen", aldus Phillar-woordvoerder René Koolstra. "Wij zijn volstrekt zelfstandig, en onze directeur Gabor de Vree is gewoon nog in functie."
   
   Over de mate waarin Commodore zijn cijfers zou moeten aanpassen, is onduidelijkheid. Zowel Commodore-topman Ben van Wijhe als Koolstra willen daar geen details over kwijt. Commodore publiceerde vorig jaar slechts cijfers over de maanden juli, augustus en september. In die periode zou het bedrijf een verlies van 3 miljoen dollar op een omzet van 22,8 miljoen dollar hebben geboekt. Volgens een analistenrapport van SNS Securities zou Phillar goed zijn voor de helft van de omzet van het bedrijf.

   In het oorspronkelijke artikel op de website van FEM staat onder het woord "persbericht" volgens mij een linkje naar hetzelfde bericht.

   Op de website van Phillar staat overigens nog steeds een persbericht uit 2006 "Final agreement Phillar and Commodore" waarin vol lof wordt gesproken over de samenwerking met CIC. Zeer mistig allemaal. Past wel weer bij Tulip. Het wordt tijd dat Tulip zich losmaakt van deze zooi en het Commodore-merk maar aan een andere gegadigde probeert te slijten.

   AMERSFOORT, The Netherlands, January 31, 2008
   The information that Commodore released yesterday is false and misleading.
   Since almost a year Commodore and more particularly one of the remaining directors falsely present Phillar Beheer as one of its subsidiaries, while Commodore even holds not one share in Phillar Beheer. This was confirmed by the notary public who, at the time of discussions about a possible take over of Phillar Beheer by Commodore, was involved. The notary, in an official declaration of non fulfillment, confirmed already on May 21, 2007 that no transfer of shares in the capital of Phillar Beheer has taken place.
   On various occasions, also on 10 December 2007 in the Dutch Business Magazine FEM Business, the press informed that the intended transaction was not completed at all and that, despite this fact Commodore misleadingly presented Phillar Beheer as its subsidiary also towards the analysts of SNS Securities and in Commodore's Information and Disclosure statement for the US stock exchange authorities.
   Commodore states that it has suspended Phillar's CEO based on a "shareholders" resolution, but this shareholders resolution is non-existent, simply because Commodore holds no shares in Phillar.
   In the press very negative publications about Commodore appeared and that is an important reason for Phillar's decision to remain independent.
   Mr G.G. de Vree, CEO of Phillar: "Phillar is and will remain operating on its own and under its own name. I am still in charge and will fully remain in doing so." No new director has been appointed and G.G. de Vree is fully supported by his fellow shareholders. The Phillar Group continues its efforts in reaching its business targets as set in its roadmap.

   Daarmee bedoel ik het persbericht waar Groente naar verwijst op de FEM-site.
   
   Dat van Phillar zie ik idd wel, beetje vreemd dat ze een officieel PB uitbrengen om te reageren op de verzinsels van van Wijhe, maar dat niet meteen op hun eigen site zetten.

   Commodore To Adjust Its Financial Figures For Fy 2007
   February 13, 2008 – Baarn, The Netherlands – Commodore International Corporation (“Commodore” - OTC:CDRL) has announced that further to its previous press release concerning the Phillar Beheer group, it is facing a significant delay in completing its investigation of the financial books of Phillar Beheer due to legal proceedings in this matter.
   Therefore Commodore intends to publish its consolidated financials for FY 2007 excluding the figures of Phillar Beheer.
   Commodore expects its financial figures for FY 2007 to be substantially lower than previously estimated. However, the expected net loss remains approximately 10 million Euros as previously disclosed in the company’s shareholders meeting of October 2007. This net loss is a direct result of the delay in the introduction of Commodore’s GRAVEL line of products in the European market.
