   Het gaat met name om de laatste voorwaarde in 6.2 van het offer memorandum:
   
   (i) no event has occurred that results, or is reasonably expected to result, in a Material Adverse Change; whereas a “Material Adverse Change” means any event or circumstance that, individually or together with other events or circumstances, has or is likely to have a material adverse effect on the profitability, financial or trading position of Tele Atlas or any of its subsidiaries, such that the Offeror cannot reasonably be expected to continue with the Offer or to declare the Offer unconditional, other than any event or circumstance that directly results from (a) changes after the date of the Merger Protocol in applicable laws, rules or regulations, international financial reporting standards or interpretations thereof, (b) changes after the date of the Merger Protocol to the economy or to market conditions in general or to the industry in which Tele Atlas or the Offeror operates, (c) any matter that is actually known to the Offeror, or should have been known by the Offeror based on information provided in the Data Room that is understandable on its face, prior to the date of the Merger Protocol, (d) one or more portable navigation devices customers or automotive customers of Tele Atlas deciding to decrease the level of products they are currently purchasing from Tele Atlas if and to the extent this is caused by the announcement of the Offer (e) a breach of the Merger Protocol or any applicable laws by the Offeror, or (f) any derivative or
   stockholder litigation arising from allegations of a breach of fiduciary duty relating to the Merger
   Protocol.

   Helaas moet ik bekennen dat deze voorwaarde niet geheel en alleen een theoretische waarde heeft... ik zat nog te denken vrijdag: zal ik ze verkopen boven de 26, want dan heb ik mijn verlies (een week eerder op 27 gekocht) beperkt gehouden... oei oei oei... spannend maandag! En anders houd ik ze maar totdat de EU met het verlossende nieuws komt: de dood of de gladiolen, hoe dan ook een spetterend einde! :-)
