    Fremont Wins Permission to Access Cash, Limit Trades (Update1)

    June 20 (Bloomberg) -- Fremont General Corp., once the fifth-largest U.S. subprime lender, won court permission to access $32 million in cash as it completes a sale in bankruptcy.

    U.S. Bankruptcy Judge Erithe Smith said in court documents filed yesterday that Fremont can use the cash deposited in two accounts with Wells Fargo Bank NA. The judge also approved procedures to limit trading in Fremont's common stock.

    ``Any administrative `freeze' imposed by the bank solely by reason of the occurrence of debtors' bankruptcy petition shall be lifted,'' Smith said in Santa Ana, California. In addition, share purchase that might make an investor a ``substantial'' owner of Fremont stock will require court approval, Smith said.

    Fremont, which filed for bankruptcy June 18 after agreeing to sell most of its assets to CapitalSource Inc., had asked Smith for permission to limit share trading to preserve a $200 million tax benefit. A change in ownership might limit the amount of income tax that Brea, California-based Fremont could offset with operating losses.

    Fremont said in court documents that its largest unsecured creditors include HSBC Bank USA NA, with a $167 million claim; Bank of New York, with a $103 million claim; and Tennenbaum Multi-strategy, a fund of Tennenbaum Capital Partners LLC, with a $135 million claim.

    Fremont is the biggest subprime lender to seek court protection since New Century Financial Corp. filed in April 2007. Fremont listed assets of $643 million and debt of $321 million in its Chapter 11 bankruptcy filing. Formed in 1937, the company had $8.8 billion in assets and 22 branches as of September.

    The case is In re Fremont General Corp., 08-13421, U.S. Bankruptcy Court, Central District of California (Santa Ana).

    Fremont General to Have Official Stockholders' Committee

    Financial services holding company Fremont General Corp. will have an official committee to represent stockholders, a federal bankruptcy judge ruled at a June 24 hearing.

    An ad-hoc group with 24 percent of the stock asked the U.S. Bankruptcy Court in Santa Ana, California, for an official committee June 23 after being turned down by the U.S. Trustee. The judge told the U.S. Trustee to appoint the committee ``immediately.
