It is being proposed to instruct PricewaterhouseCoopers to examine the Annual Report and the
Annual Accounts for the financial year 2011, to report to the Board of Supervisory Directors and
the Board of Management, and to issue an auditor's statement.

Amendment of the articles of association - Increase of the authorised share capital by
50,000,000 shares
Pharming’s current number of outstanding shares is 461,116,470 and its total number of
outstanding options and warrants on 30 March 2011 is 15,832,130 making the total number of
outstanding and committed shares to 476,948,600. Its current authorised share capital contains
500,000,000 shares. To ensure the ability to issue up to 10% above its authorised share capital
in the 12 months going forward, the Company therefore seeks a limited increase in its
authorised share capital. It is therefore proposed to increase the number of shares in the
authorised capital of the Company with 50 million shares from 500 million to 550 million shares
and to amend the articles of association of the Company for that purpose, in accordance with
the draft deed made available by the Company in view of this proposal.
