   Biofrontera AG resolves to issue qualified subordinated mandatory convertible bonds
   
   Leverkusen, Germany, July 27, 2020 (GLOBE NEWSWIRE) -- The Management Board of Biofrontera AG (NASDAQ ticker symbol: BFRA, ISIN: DE0006046113), today resolved, with the approval of the Supervisory Board, to issue a qualified subordinated mandatory convertible bond subject to the granting of statutory subscription rights.
   
   The qualified subordinated mandatory convertible bond will mature on December 20, 2021, bears interest at 1% p.a. and consists of up to 2,638,150 bonds with a principal amount of EUR 3.00 each and a total principal amount of up to EUR 7,914,450.
   
   In accordance with the terms and conditions of the convertible bonds, each of these convertible bonds can be converted into no-par ordinary registered shares of the company with a notional interest in the share capital of EUR 1.00 per share and a right to dividends from the year of the share issue. The initial conversion price per share is EUR 3.00. The initial conversion ratio is 1 : 1.
   
   The bondholders are obliged to convert their bonds at the maturity date of the convertible bond. The company is entitled to convert the convertible bonds into shares at any time if a trigger price defined in the terms and conditions of the convertible bonds has been met.
   
   The shareholders are granted the preemptive right to the convertible bonds as an indirect subscription right via Quirin Privatbank AG, Berlin.
   
   The subscription price will be published in the Federal Gazette (Bundesanzeiger) and via an electronic publication no later than three days before the end of the subscription period. The subscription price will be based on the stock exchange price of the Company's shares (ISIN: DE0006046113) at the time the subscription price is determined and will not exceed 100% of the nominal value of the convertible bonds of EUR 3.00 each. The subscription price will be established based on the ratio of the stock exchange price of the shares of the Company to the nominal value of the convertible bonds as a percentage of the nominal value of the convertible bonds, whereby a discount of up to 10 % may be applied to the percentage determined by this method. Sections 199 (2) and 9 (1) AktG remain unaffected.
   
   For further details, please refer to the Subscription Offer, which is expected to be published on July 29, 2020 in the Federal Gazette.
   
   The company intends to use the expected net proceeds to fund clinical studies for label expansion of Ameluz®, to further finance sales and marketing efforts of Ameluz® in the USA and for working capital and general corporate purposes.

   Ik hou het op een shortsquize in de USA. In Europa loopt de koers al weer terug. Ik heb gedeeltelijk winst genomen op € 3,90 op een pluk die ik op €3,22 heb gekocht. Een scenario als in de USA zit er blijkbaar hier niet in. Jammer.

   Lijkt me een goede verklaring plus mensen die bijkopen. De uitgifte van de convertible wekte vertrouwen.

   Middel werkt, blijft lange termijn interessant.

   Zo uit mijn hoofd spelen er geen rechtzaken meer. De zaak tegen DUSA heeft Biofrontera laten vallen en de Balaton bende is volgens mij buitenspel gezet.
   
   Je hebt gelijk: Ameluz heeft veel potentie maar dermatologie is een contactberoep en daardoor hard geraakt door Corona. Biofrontera heeft wat personeel moeten ontslaan om de kosten te drukken. Zodra dermatologische handelingen weer toegestaan gaan worden zal de koers van Biofrontera opveren.

   Het is in die zin ook wel een interessante periode om overnames te doen in dit gebied. Prijzen zijn laag, omzet neemt af en uitzicht is onduidelijk.

It is divided into up to 2,638,150 qualified subordinated mandatory convertible bearer bonds ("Bonds") with a nominal value of EUR 3.00 each and a total nominal value of up to EUR 7,914,450. The shareholders or holders of subscription rights were invited by an announcement in the Federal Gazette (Bundesanzeiger) of 29 July 2020 to exercise their subscription rights to the Bonds during normal business hours in the period from 30 July 2020 up to 13 August 2020 (included) to avoid exclusion. It was also provided that the subscription price would be published in the Federal Gazette (Bundesanzeiger) and via an electronic information medium no later than three days before the end of the subscription period.
    
    The subscription price for each of the Bonds was set at
    
    100 % of their nominal value of EUR 3,00.

    Dank je fc. Ik ben deze keer niet op de aanbieding ingegaan en als ik me niet vergis kan het nu ook niet meer. De koers van Biofrontera is op de korte termijn nog wat onzeker al ben ik over de lange termijn optimistisch. Ik zat er al te vol in, heb wel de afgelopen tijd met (een beetje veel) speelgeld een ritje gemaakt van uiteindelijk +21%, maar ik moest er wel een maand of vijf op wachten.

    volgens mij zit het zo;
    Gedurende de looptijd van inschrijving voor de convertible is er geen feitelijke koppeling tussen de ADR's in de US en de aandelen in Duitsland. Dit schijnt een regel te zijn ivm inschrijving conv.
    Door een gerucht op robin hood in de US vorige week (pharming zou stoffen leveren voor het russisch vaccin) is er grote vraag onstaan (met maar weinig aandelen zorgt dit voor de hoge koers). Hierop zijn veel partijen short gegaan. (zie link)
    Als de convertible in zijn geheel wordt afgenomen zou de koerskoppeling US/DE er morgen (de 14e) af gaan, zo niet dan een PP met afloop 18-08. Dit zou theoretisch betekenen dat de koers van DE dan kortstondig stijgt en die van de US (bij opening) daalt.
    Vandaag zien we al een klein aanloopje. Ik verwacht ook inderdaad een korte stijging op de Xetra.

    Dank je wel Remfin. Het spel is nu volop aan de gang. koersprijzen in Europa en USA kruipen naar elkaar toe. Daarbij letten op ratio 1:2 en dollarprijs. Ik hoop op een eurokoers van ca €10, de komende handelsdagen.

    Waarschijnlijk maandag wel een of ander artikel van het management.
    
    Die Robin Hooder geben ihre Anzahl aktuell mit 7.289 an. Ich vermute daher auch, dass wir nun weit über 10.000 Aktionäre (inklusive ADS) haben, aber natürlich sehr viele Kleinanleger. Die Fonds müssen nun erst noch rein. Das könnte ein Spaß werden. Spannend ist, wie viele Aktien short sind. So ganz klar bin ich mir da auch nicht. Ein Short Squeeze wäre wohl das Beste was uns jetzt passieren könnte. Wenn Lübbert nun noch in zahlreichen Interviews erzählt, dass Biofrontera die hohen amerikanischen Kurse auch wert ist, dann haben wir den Jackpot.

    Biofrontera loopt in Duitsland nu weer behoorlijk terug. Vermoedelijk geldt deze verklaring:
    
    Nasdaq vorbörslich -25% Aktuell 17,30 Dollar. Das erklärt den Rutsch an der Heimatbôrse von heute Vormittag. Mal sehen, die Vorbörse ist bei Bio nicht allzu aussagekräftig, die Zeichen stehen aber meiner Meinung nach auf eher „Zock ist vorbei“ Aber wer weiß, im Sherwood Forest ist alles möglich ;-)
    
    Veel shorters die hebben moet terugkopen zullen ook weer snel verkopen. Toch hoop ik dat het management maandag a.s. wat doet met deze kans.

    Risico is wel dat er mogelijk maar een relatief klein aantal aandelen hoeft te worden gecoverd (op basis van wat we zien op fintel.io/ss/us/bfra ). Helaas wordt de totale short interest positie hier niet gemeld. cummuleren op basis van short volume per dag is tricky. Het kan dus ook zo maar ineens afgelopen zijn, met als gevolg dat de koers (hoogstwaarschijnlijk) weer naar beneden knalt.
    
    We begonnen de dag goed, gevolg door een dipje waar we nu langzaam weer uit lijken te komen. We gaan zien hoe de us opent en wat dat met de koers in DE doet.
